Satin Creditcare makes a corporate announcement
TL;DR
Based on the latest quarterly filings, what is the current outstanding NCD debt on the balance sheet, and what portion of this new ₹5,000 crore limit is earmarked for refinancing existing debt versus funding incremental loan book growth?
The latest Q1 FY27 filing does not separately disclose the closing NCD balance as of 30 June 2026. It reports consolidated outstanding debt of Rs 11,809.03 Crores at quarter-end, but this is total debt, not NCD-only debt. The standalone presentation reports on-book borrowings of Rs 10,216 Crores. [1] [2]
The closest disclosed NCD reference is the 10.3% NCD share of borrowings as of 31 March 2026. Applied to March-end total outstanding debt of Rs 10,991.46 Crores, this implies an NCD balance of approximately Rs 1,132.12 Crores at March 2026 — a derived estimate, not the June 2026 closing balance. [3] [1]
During Q1 FY27, the company disclosed NCD issuances aggregating approximately Rs 804.92 Crores, including transactions explicitly described as re-issuances. Because the filing does not provide a redemption/re-issuance bridge or a 30 June NCD closing balance, these issuances cannot be added mechanically to the March estimate. [4]
Regarding the new Rs 5,000 Crore NCD limit, the disclosed material does not specify any rupee or percentage allocation between refinancing existing debt and funding incremental loan-book growth. The approval is a borrowing/fund-raise limit; tranche terms were to be finalised by the Board’s Working Committee, and shareholder approval was being sought. [5]
- Refinancing allocation: Not disclosed
- Incremental loan-book growth allocation: Not disclosed
- Important distinction: The Rs 5,000 Crore limit should not be treated as debt already drawn or as a current balance-sheet liability.
How does the proposed ₹5,000 crore NCD limit compare to the company's existing debt maturity profile and the total NCD limits approved by the board in the previous two fiscal years?
The proposed Rs 5,000 crore NCD ceiling is materially larger than the company’s near-term identified NCD maturities, but it is not larger than the previous FY26 umbrella authorization: it effectively renews the same Rs 5,000 crore borrowing ceiling.
Scale versus existing maturities
As of 31 March 2026, the consolidated debenture schedules identify at least Rs 561 crore of fully specified NCD and subordinated-debt carrying amounts maturing by 31 March 2027. This excludes the unallocated instalments of a further Rs 22 crore tranche that amortizes across September 2026, March 2027 and September 2027; therefore, Rs 561 crore is a lower-bound estimate rather than the complete near-term maturity requirement. [16] [16] [17] [17] [18]
Comparison with the prior two fiscal years
Using the latest proposal in FY27, the previous two fiscal years are FY25 and FY26:
- FY25: the April 2024 board approval covered Rs 100 crore of NCDs plus a Rs 60 crore green-shoe option, or Rs 160 crore in total. A separate USD 7.5 million bond program was also approved and should not be added to the INR total without an exchange-rate assumption. [21] [22]
- FY26: the board approved an umbrella limit of up to Rs 5,000 crore in June 2025. [20]
- On a strictly quantified INR basis, the two-year total is therefore Rs 5,160 crore, making the proposed Rs 5,000 crore Rs 160 crore lower, or 96.9% of the prior two-year aggregate. This is derived from Rs 160 crore plus Rs 5,000 crore. [21] [20]
The Rs 175 crore of January 2026 tranche approvals and the Rs 50 crore March 2026 approval should not automatically be added to the Rs 5,000 crore FY26 figure: doing so risks double-counting specific issuances against the broader authorization. [23] [23] [24]
Implication: the proposal looks primarily like a renewal or replacement of funding capacity, not a clear fivefold step-up in the authorized ceiling. Its size provides ample refinancing headroom relative to the identified maturities, but actual leverage impact depends on how much of the limit is issued and whether proceeds refinance existing debt or fund balance-sheet growth.
| Comparison | Amount | Interpretation |
|---|---|---|
| Proposed FY27 NCD ceiling | Rs 5,000 crore [19] | One-year private-placement limit; outstanding principal of NCDs issued under the resolution cannot exceed this amount and shareholder approval is required. |
| Fully specified maturities through March 2027 | At least Rs 561 crore [16] [16] [17] [17] [18] | The proposed ceiling is at least 8.9 times this identifiable maturity pool; derived from Rs 5,000 crore divided by Rs 561 crore. |
| FY26 umbrella NCD authorization | Rs 5,000 crore [20] | The proposed limit is unchanged versus the board’s June 2025 authorization. |
| FY25 quantified INR issue ceiling | Rs 160 crore [21] | The proposed limit is 31.25 times this quantified FY25 issue ceiling; derived from Rs 5,000 crore divided by Rs 160 crore. |
